Transparency, constructive stakeholder dialogue, sound decision-making processes and controls are key aspects of our corporate governance for the benefit of ISS and our stakeholders.

It is important for the Board of Directors of ISS A/S to exercise good corporate governance. The Board of Directors therefore regularly reviews the ISS Group's corporate governance in relation to the ISS Group's activities, business environment, statutory requirements and corporate governance recommendations. Good corporate governance practices at ISS are implemented in a dynamic process with the Board of Directors continuously assessing the need for adjustments to benefit ISS' stakeholders and the ISS Group itself.

Board and Global Leadership

ISS has a two-tier governance structure consisting of:

• the Board of Directors, and
• the Executive Group Management Board

The Board of Directors determines the overall Group strategy and supervises ISS’ activities, management and organisation.
The Executive Group Management Board carries out the day-to-day management of the ISS Group. No person serves as a member of both of these bodies.
